1. Acceptance of Terms
By accessing or using any services provided by BIIOS ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services
BIIOS provides startup studio services including but not limited to market research, idea validation, brand creation, positioning strategy, launch preparation, business strategy, digital setup, and content foundation services ("Services"). The specific scope of services will be defined in a separate engagement agreement or proposal.
3. Eligibility
You must be at least 18 years of age to enter into an agreement with BIIOS. By using our services, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.
4. Engagement and Payment
- All engagements begin with a discovery call and a written proposal outlining scope, deliverables, timeline, and fees.
- Payment terms will be specified in your individual engagement agreement.
- BIIOS reserves the right to pause or terminate services in the event of non-payment.
- Prices are in Indian Rupees (INR) unless otherwise stated.
5. Intellectual Property
- Work product created exclusively for you during a paid engagement becomes your property upon receipt of full payment.
- BIIOS retains the right to use anonymised project details and outcomes as portfolio references and case studies, unless you request otherwise in writing.
- Pre-existing tools, frameworks, templates, and methodologies developed by BIIOS remain our intellectual property.
6. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the engagement. BIIOS will not disclose your proprietary information to third parties without your consent, except as required by law.
7. Limitation of Liability
BIIOS provides services on a best-effort basis. We do not guarantee specific business outcomes such as revenue targets, user growth, or funding. Our liability in any matter is limited to the fees paid by you for the specific service in question.
8. Community Participation
Participation in BIIOS community events — including industry visits, seminars, internships, and startup competitions — is subject to individual event terms communicated at the time of registration. BIIOS is not liable for outcomes arising from community introductions or collaborations.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the engagement agreement. In the event of early termination, payment for work completed to date will be due in full.
10. Governing Law
These Terms are governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
11. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or on our website. Continued use of our services after such changes constitutes acceptance of the revised Terms.
